We also prepare and/or review many types of internal business agreements such as shareholder, management, employment, consulting, stock option, partnership, non-compete, LLC operating agreements, as well as corporate governance documents such as articles of incorporation and bylaws.
The firm also drafts, reviews and negotiates all forms of loans and corporate and business financing transactions including real estate loans, inventory/asset-based loans and factoring arrangements.
The firm handles a variety of merger and acquisition and other related business financing arrangements. Firm lawyers have successfully negotiated hundreds of millions of dollars in equipment leasing transactions and managed a highly profitable captive-leasing program that originated in excess of $1 billion dollars worth of equipment leases. Firm lawyers have also successfully completed in excess of 50 technology acquisitions or divestitures and have structured, negotiated and closed in excess of 20 technology transfer and development agreements in the US, EU, Korea, Taiwan, China, Brazil and Argentina.
Our firm’s real estate finance & development practice has experience in the following areas: corporate real estate services, including leasing and acquisition and development programs for clients with sizable real estate holdings and needs; finance; acquisitions and dispositions; joint ventures; complex multiuse projects; public/private partnerships; land development and construction; and, the strategic planning and asset analysis that goes along with real estate focused transactions.

We have extensive experience in the representation of clients in hardware and software development, data communications, telecommunications, information processing, and related industries with a particular focus on the domestic and international operations of manufacturing, service and data/telecommunications/ Internet related companies.
Our firm does not generally undertake litigation engagements from our clients. However, both Mr. Carpenter and Mr. Berger have litigation experience and provide litigation management services to their business clients by supervising litigation matters being handled by other outside law firms. The firm has established relationships with sole practitioners, specialists, consultants, boutique firms and law firms on a local, state, national and international level that enable us to provide cost effective service to our clients in litigation matters and other areas of the law that we do not directly handle.
